These terms of use "Agreement" states forth the legally obliging limitations for your "User" use of the services provided by UVA24x7. By using the services provided by www.uva24x7.com portal (hereinafter referred as the portal), you hereby agree to be bound by this Agreement, whether you are a "Visitor" (Which simply means your intention to browse the services provided on the portal, including but not limited to browsing through any mobile device supporting wireless data activity or using the services provided on the website without being a registered member) or in the other case if you are a "Member" (Registered user, who is legally permitted to use the services provided on the portal). The terminology for "Visitors" & "Members" alike used in our website would be hereinafter known as "User". You shall be authorized to the use the services provided by the portal (regardless of whether your use of the services is intended) if only you do agree to acquiesce by all the applicable laws and terms of this Agreement. Please go through the entire Agreement carefully, and save it (.pdf version), if necessary for further viewing. In such a case where you do not find this Terms of Agreement legally binding on yourself with any of the applicable legal provisions applicable to hereinafter you should leave the portal and also discontinue the use of the services provided on the website immediately.
If you wish to become a member and subscribe to the services and/or make use of the services provided on the www.uva24x7.com website you must read this agreement and indicate that you agree to abide by the Terms of Agreement during the Registration Process.
The following Agreement lists all the applicable UVA24x7 policies for acceptable use of the services provided on the www.uva24x7.com website and on the appropriate content posted on or through the services provided on the website, and also your rights, obligations and restrictions regarding the use of the services on the portal and content posted on or through the said services. In order to facilitate your participations in certain services provided by www.uva24x7.com in future, you shall be intimated prior to and/or may require to download certain software's or content onto your system for using to the services related to the portal. Unless notified otherwise or provided by any other additional Terms and Conditions, your participation in the services provided by www.uva24x7.com is governed by the following Terms of Agreement. UVA24x7 reserves the right to change or modify any part of the following Terms of Agreement without prior notification to the "Users". Your "User" use of the website and the services provided by the website after the uploading of the modified terms of Agreement or Terms and Conditions, constitutes you having read the modified Terms of Agreement/Terms and Conditions and agree to abide to the same. Therefore we deem it extremely necessary for you to go through the Terms of Agreement/Terms and Conditions from time to time to be knowledgeable about the changes that may occur from time to time in the Agreements and or Conditions of your use, laid by UVA24x7.
UVA24x7 request's its "Users" to carefully choose the information submitted by them is true and best to their knowledge. Please note that your profile created on the website should not contain any Prohibited/Illegal/Illicit content as outlined in the Section 8 of Terms of Agreement. Although this clause is strictly enforced, any information, materials, products or services provided by other "Users" of the portal (e.g.: in their profile or through blogging feature) may, in whole or in part, be unauthorized, impermissible or otherwise violating the Conditions of this Agreement, UVA24x7 owners accepts no responsibility or liability in part or whole for such materials.
In such a case where other "Users" notices any abuse or misappropriation of the services provided forthwith on the portal, by "Users", UVA24x7 requests you to bring that to our NOTICE with immediate effect. Please complete the Feedback form and send us an immediate request for the removal for the so called objectionable materials from the website.
UVA24x7 reserves the right, entirely on its sole discretion, to reject, refuse to post and or remove any posting (including but not limited to private messages) by "Users" or to deny, restrict, suspend or terminating complete "User" Access to all or any part of the services provided by www.uva24x7.com, at any time, for any or no reason, with or without prior notice or explanation whatsoever. UVA24x7 explicitly reserves the right, entire on its sole discretion, to remove your profile and/or deny, restrict, suspend, or terminate "User" Access to all or any part of the services provided by the website www.uva24x7.com, if UVA24x7 determines, entirely on its sole discretion, that you have violated this Terms of Agreement or Pose any kind of threat to UVA24x7 members/or its "Users"/or to the community in large/or by violating any applicable Indian Cyber Laws.
- Terms. The currently enforced Terms of Agreement posted on the website www.uva24x7.com, and/or any revision to this Terms of Agreement posted at a later date as and when the Law requires, shall remain in full acting force and/or effect in the intermittent times of "Users" facilitating the services provided on the website. "Users" may terminate their membership/association at any given time, for any reason, by following the link provided for deletion of your account in each individual "User" Control Panel. UVA24x7 may terminate your Membership at any time, for any or no reason, with or without prior notice or given explanation, and without any liability. Even after disassociation/termination of your Membership with UVA24x7 and all related services provided on the website www.uva24x7.com, this agreement shall remain in full force and effect, especially sections 5 through 17.
- Eligibility. Usage of the services provided on the website www.uva24x7.com can be availed by registration for the said services and becoming a Member of the website. The registration to be a Member of UVA24x7 services is void where prohibited. By using the services on the website www.uva24x7.com, you ("User") represent and warrant that (i) the information provided by You while registering for the services provided on the website www.uva24x7.com is entirely truthful and accurate and to the best of your knowledge; (ii) you will maintain the accuracy of any such information provided at the time of registration; (iii) you are at least 13 years of age or older; and (iv) your use of the services on the website www.uva24x7.com does not violate any applicable laws or regulations. "User" Membership may be terminated without warning, if UVA24x7 has the belief that you are under 13 years of age, if UVA24x7 believes that you are under 18 years of age and you are representing yourself as 18 or any years older than that, and/or if UVA24x7 believes that you are over the age of 18 years of age and representing yourself as under 18 years of age.
- Charges. UVA24x7 reserves the right to charge for its services provided on the website www.uva24x7.com, and also to revise its fees for subscription on a timely basis in its sole discretion. In the eventuality of your ("User") termination/disassociation of Membership with the website www.uva24x7.com, because of your breach of these Terms of Agreement or Conditions, or if you ("User") choose to do so on your own, you ("User") shall not be entitled to any refund of any unused part/portion of the fees or payments (if any).
- Password. In the eventuality you "User" decide to become of the website and the services provided by the website www.uva24x7.com, you "User" will be asked to choose a password for the safe keeping/maintaining/for use with the website and related services provided by the portal. You "User" are entirely responsible for the safeguard of your account password. You "User" agree to not use the account, username or password of another "User" at any time and not to reveal or disclose your password to any third party. Any discrepancies arising out of revealing or disclosing your account password to any third party will be solely at your "User" risk. At any point of time the Staff/Management/Employees of UVA24x7 cannot be held liable for the said discrepancies related within your "User" account if you "User" do not adhere to the said Terms and Conditions. You "User" do hereby agree to notify UVA24x7 immediately upon suspicion of any unauthorized access of your "User" account or access to your password. You "User" are inherently/solely responsible for any or all use of your account/user-id & password.
- Use by Members. The services provided on the portal are for personal use and in some case are limited to be used for promotional purposes, with the permission/assent of UVA24x7 team. All direct commercial business propagation may only be conducted if they are explicitly endorsed or authorized by the UVA24x7 team. UVA24x7 explicitly reserves the right to remove any/or all commercial contents at its sole discretionary power. Illegal and/or unauthorized use of the services provided by the portal, (included, but not limited to) collecting usernames, user-id, telephone numbers and or e-mail addresses of the "Users" by electronic or other means for the purpose of sending unsolicited emails or illegitimate framing or hot linking to the website www.uva24x7.com, or employing third party promotional sites or software's to promote profiles for money and data-mining is strictly prohibited and enforced upon. Commercial Advertisements, Affiliation links, and other form of illicit solicitations may be removed form Members profile with notices being served or any explanation being given in part of whole to the Member and in some cases may also result in Termination of Membership Privileges. UVA24x7 reserves the explicit rights to take appropriate legal action for any illicit or illegitimate use of the services provided on the portal.
- Proprietary Rights for Content on UVA24x7
- The contents incorporated within the website and the related services provided by the portal, and hereby claimed as developed in-house and are as such the Proprietary Owners of the contents. UVA24x7 does not at any point of time claim any sort of ownership rights to the text, files, photos, videos, sound files, works of musical nature, works of penmanship, software application or any application for that matter, or any other materials (collectively called 'CONTENT') that you "Users" post through the services provided by the portal. After the successful posting of "Users" content, you "User" retain any or all rights to the content posted by you "User". By choosing to display and posting your "User" content on the services availed from the portal, you hereby grant UVA24x7 a limited non-exclusive license to use, modify, add to, delete from, publicly perform, publicly display, reproduce, and distribute such Content solely on or through the services provided by the portal, including without limitation to distributing parts or entirety of the UVA24x7 website in any media formats and through any media channel, excepting for the Content said to be "Private" in nature will not be distributed outside of the portal. The so called limited license does not grant the rights to the portal, the rights to sell, distribute your "User" content outside the services provided by the portal. After the removal of your "User" content from the website, we shall cease distribution as soon as it is practicable & at such a time the license shall expire. If after any such distribution of your "User" content outside the portal, has occurred and after the so called occurrence you "User" have Marked the Content as "private", UVA24x7 shall see to it that the distribution of the so called Content of "Private" nature, is ceased as soon as practicable after you "User" have made the changes.
- The license granted by you "User" to UVA24x7 is of non-exclusive nature (which means you "User" are free to license your "User" Content to any other third-party in addition to UVA24x7), fully-paid and/or royalty-free (meaning that the portal, is not required to pay you for the use on the Content posted though the services provided by www.uva24x7.com), sub-licensable (so that the website www.uva24x7.com is able to offer, its affiliates, subcontractors and other partners such as Internet content delivery networks and wireless carriers to provide the services provided by the portal), and Globally (because the Internet and the services provided by www.uva24x7.com are global in reach).
- You "User" represent, warrant and convene that: (i) you "User" is the owner of the Content posted by you "User" on or through the services provided by the portal, or otherwise have the right to grant the license set forth in this Section 6, and (ii) the posting of your "User" Content on or through the website www.uva24x7.com services abide by (does not violate) any applicable laws, including but not limited to the privacy rights, publicity rights, intellectual property rights, copyrights, contract rights or any other rights of any other individual or entity. You agree to pay for all royalties, fees, and any other money owing to any person or entity by reason of any Content posted by you on or through the services provided by the portal.
- The services provided by the portal contain Content of UVA24x7 (which herein after referred as "UVA24x7 Content") and is protected by copyright, trademark, patent, trade secret, industrial secret, and other laws in India, and any other countries applicable. UVA24x7 owns and retains all rights in the Content published in its portal and the services provided by it. UVA24x7 hereby grants you "User" a limited, revocable, non-sub licensable license to procreate and exhibit the Content of the website www.uva24x7.com (excluding any software code) solely for your "User" personal use in connection with viewing the content and / or services provided by the portal.
- The service provided by the portal contains Content of Users and other UVA24x7 licensors and / or Business Partners. Except as provided within this Agreement, you "User" and / or any other Individual may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any content appearing on or through the services provided by the portal.
- UVA24x7 performs technical functions and or necessary changes to offer the services provided by their portal, including but not limited to recoding and/or reformatting the Content viewed, and to allow its use throughout the services provided by the portal, from time to time to appeal to a broader audience.
- Content Posted
- UVA24x7 reserves the right to entirely and/or partly reject, refuse to post and / or delete any Content for any or no absolute reason, including but not limited to Content that in the sole judgment of UVA24x7, may deem violating this Terms of Agreement and / or which may be entirely and / or partly offensive, illicit or violate the rights of any Individual or Entity, or harm or threaten the safety of any Individual or Entity. UVA24x7 assumes no responsibility partly and / or entirely for keeping in check the services provided by the portal for inappropriate Content and / or misconduct by you "Users". If at any time UVA24x7 deems fit necessary, in its sole discretionary power, to monitor the services provided by the portal, UVA24x7 nonetheless assumes no responsibility for the Content, no obligations to modify or remove and / or edit any inappropriate Content, and no responsibility entirely and / or partly for the conduct of the "User" submitting any such Content objectionable or stated otherwise from time to time according to the prevalent laws of the land at the time of such an occurrence.
- You "Users" are entirely responsible for the Content that you "User" posts on or through, entirely and / or any of the services provided by the portal, and any material or informative sources that you transmit to other Members and / or for your "Users" interactions with other Users/Members.
- Please bear that in mind that the services provided by the portal is designed to appeal to a broader spectrum of audience. Included but not limited to child/children's/youths/teenagers/youngsters/adults (young and old alike). UVA24x7 requests you not to misbehave in entirely/partly way thereof with any of the Members/Users of the www.uva24x7.com website. If any such Miscreants/Users are found then they shall be dealt with harshly included but not limited to termination of Membership privileges and will be reported to the competent authorities available to deal with such a situation arising at the said time.
- You "User" are solely and / or partly responsible for bearing in mind that all Content posted by you "User" on or through any of the services provided by the portal services, and any such material and / or informative sources that you transmit to other Members/Users, assents to all applicable proprietary data protection and are covered by privacy laws, including but not limiting to ensuring that you have obtained the prior consensual agreement of any and all Individuals and / or Entity whose personal information or partly/entirely public information you use and/or disclose on or through the services provided by the portal.
- Content/Activity Prohibited: The following are the clauses that examples the kind of Content that is illegal/illicit or prohibited to post entirely and/or partly through the services provided by the portal. UVA24x7 reserves the right entirely in its Authoritive capabilities to investigate and / or take appropriate constituted legal action against anyone (not limited to Individuals and / Entity) who, in UVA24x7's sole discretion, violates this provision, including without limitation, removing the offending Content from the services provided by the portal, and terminating the Membership of such "User"/violators. Prohibited Content includes, but is not limited to Content that, in the sole authoritive discretion of UVA24x7:
- Is offensive, promotes racism, bigotry, hatred and physically harm any kind of group of individual (included but not limited to child/children's/youths/youngsters/females/adults);
- Harassment of another individual in any capacity;
- Exploiting individuals in any capacity (included but not limiting to Sexual or Violent manner);
- contains nudity or offensive materials and language which is not in accordance with the laws of the land (India), excessive violent materials, or offensive subject matter or any other links containing leads to an adult website;
- soliciting personal information from any one under the age of 18 years old;
- public posting of information that poses or creates a privacy or security risk to any individual or entity;
- public posting of any information that would lead to communal disharmony, and which in turn would lead to destruction of public property and / or any individual or entity;
- constitutes and promotes any illegal or unauthorized copy of any individual/entities works which is copyrighted by the individual/entity, such as pirated computer programs or providing downloading links to them, providing any information to circumvent any / all manufacturer-installed copy-protected devices or programs, or providing pirated music through the services provided by the portal or links to download pirated music files;
- involves the transmission of "Junk Mails", "Chain Letters" or unsolicited mass mailings, "Spimming" and / or "Spamming" through instant messenger programs;
- contains restricted materials or access or pages accessible only by passwords or hidden pages behind a façade of links or pages with pop-ups or pop-under or images (including but not limited to) those linked to or from another website's accessible page);
- furthering or promoting any kind of criminal activity or enterprising or provides instructional information about illegal activities including, but not limited to making or buying illegal arms & weapons, violating someone's privacy, or providing or creating computer viruses, or collecting individuals information's for the purpose of spamming;
- soliciting of passwords or personal identifiable information for commercial or unlawful purposes from other "Users"/Members;
- commercial activities involving sales without prior written consent from UVA24x7 such as contests, sweepstakes, barters, advertising of any form, or pyramid schemes;
- includes photographs or video of another individual that you User" have posted without the individuals consent;
- promotions for bands, comedy, filmmaker and other kind of profiles, uses sexually suggestive imagination or any other unfair, misleading or deceptive Content intended to draw traffic to the "Users" profile;
- infringement of privacy rights, publicity rights, copyrights, trademark rights, service-mark rights, contract rights or any other rights of any individual/entity; or
- Promoting or propagating and/or symbols of organisations which are unconstitutional or illegal in India.
The following are the examples of the kind of activity that is illegal/ illicit or prohibited on the services provided by the portal. UVA24x7 reserves the constitutional right to investigate and take appropriate legal action against anyone who, in UVA24x7 sole authoritive discretion, violates this provision, including without limitation, reporting you to law enforcement authorities. Prohibited activity includes, but is not limited to:
- criminal or tortuous activities, including but not limited to child pornography, corruption of minors, fraud or defrauding the government or financial institutions in any capacity, trafficking in obscene material, dealing in drugs, gambling, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, intellectual property rights (including but not limited to copyright, trademark and patent infringement), or stealing of trade or industrial secrets of any entity;
- Advertising or solicitating of, any "User"/Member to buy or sell any products, devices or services through any unauthorized or impermissible use of the services provided by the portal. You "User" may not transmit any chain letters or junk email to other "Users"/Members or to any other individual/entity through the services provided by the portal. If you "Users" breach this Terms of Agreement and send unsolicited bulk email, junk mail, instant messages or other forms of unauthorized commercial communications of any kind through the UVA24x7 services, you "User" acknowledge that you will have caused substantial harm to UVA24x7, but that the amount of such harm caused would be extremely difficult to ascertain. As a reasonable estimation of such harm caused, you agree to pay UVA24x7 INR 2500/- for each such unsolicited email or other unauthorized commercial communication you send through the services provided by the portal;
- Circumventing or modifying, or attempting to circumvent or modify, or encouraging or assisting any other person in circumventing or modifying any security technology or software that is part of the service provided by the portal;
- Activities involving the use of viruses, bots, worms, data harvesting or mining programs or any other harmful computer codes, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware, or otherwise permit the unauthorized use of or access to a computer or a computer network;
- Covering or obscuring the banner advertisements on your personal profile page, or any page of the portal via HTML/CSS or any other possible means;
- Any automated use of the system, including but not limited to, using scripts for adding friends or sending comments or messages or increasing "User" points;
- Interfering with, disrupting, or creating an undue burden on the services provided by the portal or the networks or services connected to UVA24x7;
- Impersonating or attempting to impersonate another Member, individual or entity;
- Using the account, username and or password of another Member at any time or disclosing your password to any third party or permitting any third party to access your account;
- Selling or otherwise transferring your profile and or points;
- Using any information obtained via the services provided by the portal, in order to harass, abuse, or harm another individual or entity, or attempting to do the same;
- Displaying of any unauthorized commercial advertisement on your "User" profile, or accepting payment or anything of value from a third person in exchange for your performing any commercial activity through the unauthorized or impermissible use of the services provided by the portal, on behalf of that person, such as placing commercial content on your "User" profile, posting in blogs or bulletins with a commercial purpose, selecting and or creating profile with a commercial purpose as one of your friends, or sending private messages with a commercial purpose; or
- Using the services provided by the portal, in a manner inconsistent with any and all applicable laws and regulations.
- Protecting Copyrights and Other Intellectual Property. UVA24x7 respects the intellectual property rights of others, and requires that our "Users" do the same. You "User" may not upload, embed, post, email, transmit or otherwise make available any material and or content that infringes with any copyright, patent, trademark, trade secret or other proprietary rights of any individual or entity. UVA24x7 retains the lawful right to terminate the "User Account"/Membership of infringers, with or without giving and reason.
If you "Any Individual and / or Entity" believe your work has been copied and posted on or through the services provided by the website www.uva24x7.com, in a way that constitutes copyright infringement of your product or intellectual work, please send UVA24x7's Copyright Agent a notification of claimed infringement with all of the following information as listed:
- Identification of the copyrighted work and / or intellectual work claimed to have been infringed, or, if multiple copyrighted works and / or intellectual works are covered by a single notification, a representative list of such works;
- Identification of the claimed infringing material and information reasonably sufficient to permit us to locate the material on the UVA24x7 services (providing UVA24x7 with the URL(s) of the claimed infringing material satisfies this requirement);
- Information reasonably sufficient to permit us to contact you, such as a physical address, telephone number (Landline/Mobile) and, if applicable, an email address;
- A statement by you "Any Individual and / or Entity" that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- A statement by you "Any Individual and / or Entity", made under penalty of perjury, that the above information in your "Any Individual and / or Entity" notification is accurate and that you "Any Individual and / or Entity" are the copyright owner or authorized to act on the behalf of the copyright owner's; and
- Your "Any Individual and / or Entity" physical or electronic signature. - Member Disputes. You "User" are solely responsible for your interactions with other "User"/Members of the services provided by the portal, and / or with the community at large. UVA24x7 reserves the lawful right, but has no obligation and / or limitations, to become personally involved in any way "entirely/partly" with disputes between you "User" and other "User"/Members or the community at large.
- Privacy. Usage of the services provided by the portal is also governed by our Privacy Policy, which is also incorporated into this Terms of Agreement by this reference.
- Disclaimers. The website www.uva24x7.com, is not responsible for and makes no warranties, express or implied, as to the "User" Content or the accuracy and reliability of the "User" Content posted on or through the services provided by the portal, whether caused by "Users" of the said Services or by any of the equipment or programming associated with or utilized in the services provided by the portal and such "User" Content does not inevitably reflect on the opinions or policies of the website www.uva24x7.com. Profiles created by the "Users" and / or Members and third party applications created and posted by "Users"/Members on the portal may contain links (harmful or otherwise) to other websites. UVA24x7 is not responsible for the content, accuracy or opinions expressed on such websites, and such websites are not necessarily investigated, monitored or checked for accuracy or completeness by UVA24x7. Inclusion of any linked website on the services provided by the portal does not imply approval or endorsement of the linked website by UVA24x7. When you "User" access these third-party sites, you "User" do so at your "User" own risk.
UVA24x7 assumes no responsibility whatsoever for third party advertisements or third party applications that are posted on or through the services provided by the portal, nor does it assumes any responsibility for the goods or services provided by those advertisers. UVA24x7 is not responsible for the conduct, whether online or offline, of any User of the services provided by the portal. UVA24x7 assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any "User" or Member communication. UVA24x7 is also not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email service providers to display and / or deliver, due to technical problems or traffic congestion on the Internet or on any of the services provided by the website www.uva24x7.com or combination thereof, including but not limited to any injury or damage to the "Users" or to any individual's/entity's computer related to or resulting from participation or downloading any materials in connection with the services provided by the portal. Under no circumstances shall UVA24x7 be held responsible for any loss or damage, including personal injury or death, resulting from use of the services provided by the said portal, attendance at a UVA24x7 event, from any "User" generated content posted on or through the services provided by the website www.uva24x7.com, or from the conduct of any "Users" of the said portal, regardless of being online or offline. The services provided by the portal are provided on an "AS-IS" basis and as of availability and UVA24x7 expressly disclaims any warranty of fitness for a particular purpose or non-infringement. - Limitation on Liability. IN NO EVENT AND AT NO POINT OF TIME SHALL UVA24x7 BE LIABLE TO YOU "USER" / INDIVIDUAL / ENTITY OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF SERVICES PROVIDED BY THE WEBSITE www.uva24x7.com, EVEN IF UVA24x7 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY STATED HEREIN, UVA24x7'S LIABILITY TO YOU "USER" / INDIVIDUAL / ENTITY FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU "USER" / INDIVIDUAL / ENTITY TO UVA24x7 FOR THE SERVICES PROVIDED BY THE WEBSITE www.uva24x7.com, DURING THE TERM OF MEMBERSHIP.
- Risk and Export Controls. Any software's available/downloaded in connection with the services provided by the website www.uva24x7.com, (the "Software") is further subject to export laws of India. At no time shall any other software's be downloaded from the services provided by the website www.uva24x7.com, or otherwise exported or re-exported in violation of the Indian export laws. - Disputes. The Terms of Agreement stated herein shall be governed by, and construed in accordance with, the cyber laws of the country of INDIA, without regard to its conflict of law provisions. You "User" and UVA24x7 agree to submit to the exclusive jurisdiction of the courts located in MUMBAI to resolve any or all dispute arising out of this Terms of Agreement or the services provided by the website www.uva24x7.com. EACH OF THE PARTIES INVOLVED HEREBY KNOWINGLY, VOLUNTARILY, INTENTIONALLY AND WITH SOUND MIND WAIVE ANY OR ALL RIGHTS IT MAY HAVE TO A TRIAL IN RESPECT OF ANY LITIGATIONS (INCLUDING BUT NOT LIMITED TO ANY CLAIMS, COUNTERCLAIMS, CROSS-CLAIMS, OR THIRD PARTY CLAIMS) ARISING OUT OF, OR UNDER, IN CONNECTION/CONDITIONS WITH/OF (RESPECTIVELY) THIS AGREEMENT. FURTHER, EACH PARTY HERETO CERTIFIES THAT NO REPRESENTATIVE OR AGENT OF EITHER PARTY HAS REPRESENTED, EXPRESSLY OR OTHERWISE, THAT SUCH PARTY WOULD NOT IN THE EVENT OF SUCH LITIGATION, SEEK TO ENFORCE THIS WAIVER OF RIGHT TO TRIAL IN COURT PROVISION. EACH OF THE PARTIES ACKNOWLEDGES THAT THIS SECTION IS A MATERIAL INDUCEMENT FOR THE OTHER PARTY ENTERING INTO THIS TERMS OF AGREEMENT.
- Indemnity. You agree to indemnify and hold UVA24x7, its subsidiaries, business partners and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the services provided by the website www.uva24x7.com, in violation of this Terms of Agreement and/or arising from a breach of this Terms of Agreement and/or any breach of your representations and warranties set forth in this Terms of Agreement and/or if any Content that you post on or through the www.uva24x7.com causes UVA24x7 to be liable to another.
- Others. Unless otherwise stated, this Terms of Agreement is accepted upon your use of the website www.uva24x7.com or any of the services provided by the website www.uva24x7.com, and is further affirmed by you "User" by becoming a "User"/Member of the said website. This Terms of Agreement is compliant with and operates to the fullest extent permissible by Indian Cyber Laws. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Terms of Agreement and does not affect the validity and enforceability of any such remaining provisions.
